房地产企业一旦破产,房屋是否建成就决定了该企业事实上是否可能履约。以下将分这两种情况进行讨论。
一、房屋已建成
房屋已经建成的情况下,破产企业即有对购房人履约的可能,也就是业主有可能能够拿到房子。
二、房屋未建成
若企业破产宣告时房屋尚未建成,或人民法院受理破产申请后,管理人决定不再继续修建未建成的房屋,就会造成破产企业对购房人债务履行事实不能的情况。根据房屋的买受方式不同,可以区分为两种情况:按揭贷款买房和对卖方分期付款买房,这两种买房的方式会对房地产企业破产时,房屋的权利归属产生不同影响。
1、按揭贷款所购房屋的权利归属。
企业破产时房屋的权利归属。现房按揭中,开发商破产对房屋的权利归属没有任何影响。购房人仅需继续向银行清偿债务,并以房屋为担保即可。
在期房按揭中,购房时房屋尚未建成,购房人不享有房屋的所有权。当房屋建成后,若房款已经付清(购房人支付了首付,贷款银行以购房人的名义付清了余款),购房人即可委托开发商向当地房地产登记处申领《房地产证》并取得房屋所有权。之后房地产企业的破产对房屋的权利归属亦不生影响,购房人仅需继续向银行清偿债务,并以房屋为担保即可。
2、对卖方分期付款买房时房屋的权利归属。
与按揭买房不同,在分期付款购房的情形下,在转移所有权之前,根据破产申请受理时,购房人是否足额支付价款可以分为以下两种情况讨论:
第一,购房人已经付清全部价款的,所购房屋被排除在破产财产之外,购房人可以要求破产管理人转移房屋所有权,并向房地产管理部门申请变更房屋登记。
第二,购房人尚未付清全部价款的,房地产企业尚未转移所有权,双方均未履行完毕合同,破产管理人即有权决定是解除合同还是接受价款并转移房屋所有权。

分析并判断影响房地产买卖时机的因素,可以单个因素,也可以综合分析。有时只分析单个因素就能判断买卖时机,有时则必须进行综合分析后才能判断出房地产买卖时机。其基本准则是:当房地产的市场价格高于它的内在价值时,为卖出时机;当房地产的市场价格低于它的内在价值时,为买入时机。
1.买入时机
对于房地产投资者来说,确定最佳的购买时机是非常重要的。最佳的房地产购买时机,就是成交价比预期购买价要低,也就是说以较低的价格买进房地产,从而减少本金。房地产价格不同于股票,很少有大起大落的现象,它有其自身的特点和规律,一般来说,下列情况是投资者购买房地产的最佳时机:
(1)开发时期。房地产刚开发时期,大多数人对该地区价值认识不足,因而其价格常常受到压抑,其市场价格往往低于实际价值,而且人们的购买力尚未转入该地区的房地产市场,所以需求者相对较少;另一方面,房地产开发商一般都急于回收资金归还银行贷款,清偿各种债务,愿意以较低价出售。但当人们的购买力投入该地区房地产市场后,购买需求将增加;同时,随着房地产开发进程加快,投资资金的不断涌入,从需求、供应两方面推动房地产价格直线上涨。因此,房地产刚开发时期是低价买入房地产的有利时机。
(2)经济萧条时期。当社会经济萧条时,人们整体投资水平将下降,购买力也会下降,人们对房地产的需求减少,于是,房地产价格下跌。反之,当经济逐渐复苏,人们的购买力将上涨,投资也会逐步上升,相应的人们对房地产的需求增加,房地产价格上涨。所以,经济萧条时期是低价买进房地产的大好时机。
(3)在通货膨胀到来之前。通货膨胀使物价持续上涨,实际上是一种“泡沫经济”,常常引起货币贬值。通货膨胀通常也会引起房产价格上升。但通货膨胀时间一般不会长久,国家会通过各种宏观手段如提高利率等措施来抑制通货膨胀。因此房产价格上涨也是比较短暂的,涨到一定程度会随着通货膨胀的抑制而停止甚至下跌。房产投资者如果能对经济形势有比较全面的了解,在通货膨胀到来之前买入房产,那么,当通货膨胀发生时你所购入的房产将以较大幅度增加价值。

2.卖出时机
房产最佳卖出时机是在房地产价格波动中的高峰时卖出,即“贵时卖出”。如果投资者在买入房产时抓住了有利时机,然后又在应该卖出时及时卖出,那么,一买一卖便是成功的投资。一般下列情况是房产卖出的较好时机:
(1)房产市场价格大于目标卖价或预期卖价。目标卖价就是你参考原市场价格所制定的某一具体价格;预期卖价就是你在心里计划抛售的价格。在房产市场价格大于目标卖价时卖出可以使你获得目标利润,但这并不一定是赚取最多利润的时机。
(2)经济高涨时期。经济高涨时期各个行业投资上涨,对房产的需求相对增大。由于需求增加,房产价格上涨也就很自然。如果投资者在经济高涨时抛售房产,然后在经济下滑之前时购入,那么你也许拥有更多数目的房产,或手中的资金增加了许多。
(3)通货膨胀时期。通货膨胀对持有大量货币的人的心理会产生震动,认为货币会贬值,钱不值钱了,还是变成实物安全得多,而房产往往被人们认为是最具有长期、稳定价值的实物。特别是在通货膨胀较为严重时期,人们为了避免货币贬值的损失,达到保值、增值的目的,会急于将自己的钱变为实实在在的实物,大多数人会选择购买房产,大量资金会涌入房产市场,使房产市场供不应求,加上通货膨胀本身带来的房产价格上扬的自然因素,促使房产价格上升到非常高的水平。对持有房产的投资者来说,此时将房产卖出无疑是最好的时机,可以获得丰厚的利润。
人们知道,投资房地产只有“贱买贵卖”才能获得厚利,可是在实际的交易中,大概是因为人的欲望做怪,反其道而行之者数不胜数。当某种房产非常有利时,反而很少有人问津,而敢于大量吃进者寥若晨星。他们担心房产下跌之势会不会继续下去,犹豫旁观,迟迟做不了决定;即使买了,也是担惊受怕。谁知,不久房产价格连续上涨,要买又买不到了,眼睁睁地看着收益从眼前流失。
